These Terms of Service ("Terms") govern your access to and use of the FreshInsight website located at freshinsight.ai and any related content, tools, and services (collectively, the "Services").

In these Terms, "FreshInsight", "we", "us", and "our" refer to the operator of the Services, and "you" and "your" refer to any person or entity accessing or using the Services.

1. Acceptance of Terms

FreshInsight provides information, news summaries, data visualisations, educational content, and experimental automation tools, including but not limited to:

• Finance, markets, technology, and energy-related news and commentary;
• AI-generated or AI-assisted summaries, scripts, and videos;
• Internal automation tools used to publish content to third-party platforms (for example, TikTok, YouTube, or other social networks).

Some tools, such as internal publishing automation, are provided only for our own operational use and are not offered to the general public as a standalone product.

4. No Investment or Financial Advice

The content provided through the Services, including any articles, summaries, analyses, alerts, or videos, is for information and educational purposes only. It does not constitute:

• financial, investment, legal, tax, or accounting advice;
• a recommendation to buy, sell, or hold any security, financial product, or instrument; or
• a solicitation, offer, or invitation to engage in any investment activity.

We do not control and are not responsible for any Third-Party Services. Your use of Third-Party Services is governed by their own terms and policies. We make no endorsement, warranty, or representation regarding any Third-Party Services.

6. Accounts and Security

If you create an account or we provide you with access credentials for any part of the Services, you must:

• keep your login details secure and confidential;
• promptly notify us if you suspect any unauthorised access or breach; and
• not share your account with any other person unless we expressly allow it.

You are responsible for all activities that occur under your account.

7. Acceptable Use

You agree that you will not:

• use the Services for any unlawful, harmful, fraudulent, or misleading purpose;
• attempt to gain unauthorised access to any systems or networks related to the Services;
• reverse engineer, decompile, or otherwise attempt to extract source code from the Services except to the extent permitted by law;

• scrape, harvest, or collect data from the Services in bulk without our prior written consent; or

Unless otherwise indicated, all content and materials available through the Services, including text, graphics, logos, icons, videos, and software (collectively, "FreshInsight Content") are owned by or licensed to us and are protected by copyright, trade mark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use. You must not reproduce, distribute, modify, or create derivative works from any FreshInsight Content without our prior written consent, except as permitted by law.

9. User Content

If you submit, upload, or otherwise provide any content to us (including feedback, suggestions, or comments) ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to use, reproduce, modify, and display such User Content in connection with operating and improving the Services.

You represent and warrant that you have all necessary rights to grant this licence and that your User Content does not infringe any third-party rights or violate any law.

10. Disclaimers

To the maximum extent permitted by law, the Services and all content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of accuracy, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that any defects will be corrected, or that the Services will be free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will FreshInsight or its officers, employees, contractors, or affiliates be liable for any:

• loss of profits, revenue, or data;
• loss of opportunity or goodwill; or
• indirect, incidental, special, consequential, or punitive damages,

arising out of or in connection with your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

To the extent any liability cannot be excluded at law, our total aggregate liability arising out of or in connection with the Services will be limited to the greater of: (a) AUD $100; or (b) the amount you paid (if any) for the relevant portion of the Services in the 3 months immediately preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify, defend, and hold harmless FreshInsight and its officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• your access to or use of the Services;
• your breach of these Terms; or
• your violation of any law or third-party rights.

13. Changes to the Services or Terms

We may update or modify the Services at any time, including adding or removing features. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice.

Your continued use of the Services after any changes to the Terms will constitute your acceptance of the revised Terms.

14. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that:

• you have breached these Terms;
• your use poses a security or operational risk; or
• we are required to do so by law or by a third-party provider.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnity) will continue to apply.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Victoria, Australia, without regard to its conflict of laws principles. You agree that the courts of Victoria, Australia will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
